1. Program Overview

The Ship-It-Sprint is a 5-day AI micro web app building program offered by Birdsong.co, based in Tennessee. By enrolling, you agree to abide by these Terms of Service, which include participation guidelines, behavioral expectations, and legal terms to ensure a positive and productive experience for all.

2. Participant Expectations

To maintain a collaborative and supportive environment, participants are required to:

a. Respectful Communication

Communicate professionally and constructively in live sessions, group chats, and one-on-one interactions.
Avoid offensive language, personal attacks, harassment, or disruptive behavior.

b. Privacy and Confidentiality

Do not share or discuss another participant’s personal or business information outside the program.
Do not record, screenshot, or distribute live sessions, group discussions, or shared materials without prior approval.

c. Positive Contributions

Participate actively by attending live sessions, engaging in group discussions, and completing assignments.
Focus on solutions and constructive feedback rather than negativity.

d. Respect for Intellectual Property

Use program materials (e.g., templates, recordings, resources) for personal use only.
Do not share, sell, or redistribute program content.
Do not upload program materials to AI tools (e.g., ChatGPT, Bard) unless the AI tool has settings ensuring the content is not retained, shared, or used for training purposes.

e. Professionalism in Disputes

Address concerns respectfully with Birdsong.co before escalating issues publicly.
Public disparagement of Birdsong.co, Monica Snyder, or the Ship-It Sprint program is prohibited.

f. Cybersecurity & Tech Responsibility

Participants are responsible for ensuring they have a stable internet connection, compatible software, and updated technology to access program materials.
Birdsong.co is not responsible for technical issues on the participant’s end, including device incompatibility or internet disruptions.

3. Payment Terms

Pricing: The program fees are $2,000. Payment plans are available. Sometimes, at the sole discretion of Birdsong.co, discounts are available.
Refunds: All payments are refundable within 48 hours.
Late Payments: Payments not made within 7 days of the due date will incur a $50 late fee, with an additional $50 for every subsequent 7-day delay. Failure to pay may result in suspension of access. If payment is made after suspension, access may be reinstated at Birdsong.co’s discretion. If access is permanently revoked due to non-payment, no refunds will be issued.
Additional Costs: The program fee does not cover third-party software or tools (e.g., Lovable, Supabase, etc), which participants must purchase separately.

4. Access Duration

Participants have access to program materials, recordings, and resources for 12 weeks from the start of the program. Access may be revoked after this period unless otherwise specified.

No Transferability or Sharing: Program access is granted to the enrolled participant only. Login credentials and materials may not be shared, transferred, or resold. Unauthorized access or distribution of program materials will result in immediate removal from the program without a refund.

5. Media Release

Participants grant Birdsong.co permission to use general program-related content, including recordings of group sessions, testimonials, and participation snippets, for marketing and training purposes.

Sensitive or Personal Information: Defined as business finances, confidential strategies, personal stories, or explicitly marked “confidential” information. This content will not be used without explicit written consent.
Participants may opt out of media use by notifying Birdsong.co in writing before the program begins.

6. Governing Law; Dispute Resolution

This agreement is governed by the laws of Tennessee.

Mediation: Any disputes between participants and Birdsong.co must first undergo non-binding mediation through the Judicial Arbitration and Mediation Services (JAMS). The mediator shall review the dispute within 30 days or as otherwise agreed. Mediation fees will be shared equally by both parties.
Arbitration: If mediation does not resolve the dispute, the matter shall be settled by binding arbitration through JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The arbitrator's decision will be final, and judgment may be entered in any court in Tennessee. The arbitration process and outcome will remain confidential.
The prevailing party in arbitration shall be entitled to recover reasonable attorneys’ fees and costs.
Participants agree not to make false, misleading, or negative statements about Birdsong.co, its employees, contractors, or affiliates in any public forum, including social media, review platforms, or industry events. However, this does not prevent participants from expressing genuine opinions in good faith private discussions or legal proceedings.

7. Violations and Consequences

Failure to comply with these terms, including behavioral expectations, may result in:

Verbal or written warnings for minor infractions.
Temporary suspension from program activities.
Removal from the program without a refund for severe or repeated violations.

8. Liability Limitations

Birdsong.co is not liable for damages (financial, emotional, or otherwise) arising from participation in the program. Participants join at their own risk.

Results Disclaimer: Participants acknowledge that their success in the program depends on their individual efforts, business model, and market conditions. Birdsong.co makes no guarantees regarding financial results, increased efficiency, or other business outcomes.

9. Force Majeure

Birdsong.co is not liable for delays, disruptions, or cancellations caused by events beyond our control, including but not limited to natural disasters, technical failures, or emergencies. Reasonable efforts will be made to reschedule or adjust program delivery under such circumstances.

10. Modification Clause

Birdsong.co reserves the right to modify the program structure, content, or terms of service as necessary. Any changes will be communicated to participants in writing.

Acceptance of Terms

By enrolling in the Ship-It Sprint Program, you confirm that you have read, understood, and agree to these Terms of Service, including the participation guidelines, payment policies, and dispute resolution process. If you have any questions, please contact support.
